These Terms and Conditions ("Terms") govern the use of services provided by ProAxis Recruitment Agency ("ProAxis", "we", "us", "our"), a human resource management consultancy and recruitment agency registered in Kenya, with offices at Embassy House, 4th Floor, Suite 417/18, Along Harambee Avenue, Off Parliament Road, Nairobi CBD, Kenya.
By engaging our services, accessing our website at proaxis.co.ke, or using our client and candidate portal at app.proaxis.co.ke, you agree to be bound by these Terms. Please read them carefully before proceeding. If you do not agree with any part of these Terms, you should not use our services.
1. Definitions
- "Client" — any employer, organisation or public institution that engages ProAxis to source, screen or place candidates, or to provide HR or performance management consultancy services.
- "Candidate" — any individual who registers with ProAxis seeking employment placement or career support.
- "Services" — recruitment and placement services, HRM consultancy, performance management consultancy, payroll administration, travel coordination, medical testing coordination and any other services provided by ProAxis.
- "Portal" — the ProAxis online platform accessible at app.proaxis.co.ke, providing access to the client and candidate management systems.
- "Engagement Agreement" — the written or electronic agreement between ProAxis and a Client setting out the specific terms, deliverables, timelines and fees for a particular engagement.
2. Services
ProAxis provides specialist recruitment, placement and HRM consultancy services. The specific scope of services for each engagement is set out in the relevant Engagement Agreement. These Terms apply in addition to any Engagement Agreement and, in the event of conflict, the Engagement Agreement shall prevail.
ProAxis reserves the right to decline, suspend or terminate the provision of Services at its discretion, including where it believes a request is unethical, unlawful or inconsistent with its professional standards.
3. Client Obligations
Clients engaging ProAxis agree to:
- Provide accurate, complete and timely information about vacancies, organisational requirements and candidate specifications.
- Respond to candidate shortlists, evaluation reports and queries within agreed timelines.
- Comply with all applicable employment laws, immigration regulations and sector-specific compliance requirements in their jurisdiction.
- Not engage, employ or otherwise use a candidate introduced by ProAxis without a valid Engagement Agreement and settlement of applicable fees.
- Treat all candidates referred by ProAxis with dignity and respect, in accordance with applicable anti-discrimination legislation.
- Promptly notify ProAxis of any circumstances that may affect the engagement, including changes to the vacancy, headcount freeze or withdrawal of a brief.
4. Candidate Obligations
Candidates registering with or referred by ProAxis agree to:
- Provide truthful, accurate and up-to-date information about their qualifications, experience and personal details.
- Consent to background checks, credential verification and medical testing where required by a prospective employer or applicable regulations.
- Notify ProAxis promptly of any change in their availability, location, qualifications or employment status.
- Not misrepresent their identity, qualifications or work history at any stage of the recruitment process.
- Comply with the terms and conditions of any employment contract entered into following a ProAxis placement.
5. Fees and Payment
ProAxis fees for recruitment and consultancy services are agreed in advance in the relevant Engagement Agreement. Fee structures may be percentage-based on first-year remuneration, fixed-rate per placement, or on a retained advisory basis, as agreed with the Client.
Invoices are payable within the period specified in the Engagement Agreement. ProAxis reserves the right to charge interest on overdue amounts at the rate prescribed under the Kenya Law Reform Commission guidelines.
Where a placed candidate leaves employment or is terminated within the guarantee period specified in the Engagement Agreement, ProAxis will use reasonable efforts to source a replacement candidate, subject to the terms set out in that agreement.
6. Confidentiality
Each party agrees to keep confidential all proprietary, business or personal information disclosed by the other party in the course of an engagement, and not to disclose such information to any third party without prior written consent, except as required by applicable law or regulation.
This obligation of confidentiality shall survive termination of any Engagement Agreement and these Terms for a period of three (3) years.
7. Data Protection
ProAxis processes personal data in accordance with the Kenya Data Protection Act, 2019 (No. 24 of 2019) and any applicable regulations made thereunder. By engaging our services or using our Portal, you acknowledge and consent to the collection, use and processing of personal data as described in our Privacy Policy.
Candidate personal data and CVs are used solely for the purpose of matching candidates to suitable vacancies and will not be shared with third parties without the candidate's explicit consent, except as required to fulfil a placement or as required by law.
8. Intellectual Property
All content on the ProAxis website and Portal — including text, graphics, logos, methodologies, report templates and evaluation frameworks — is the intellectual property of ProAxis unless otherwise stated and may not be reproduced, distributed or used without our prior written consent.
Deliverables produced for a Client under an Engagement Agreement shall become the property of the Client upon full settlement of the applicable fees, unless otherwise agreed in writing.
9. Limitation of Liability
ProAxis shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or related to the provision of services, including but not limited to loss of profit, loss of data, or loss of business.
ProAxis's total liability to a Client in respect of any engagement shall not exceed the total fees paid by that Client to ProAxis in the three (3) months immediately preceding the claim.
ProAxis does not guarantee the performance, conduct or continued employment of any candidate following placement, beyond the guarantee period specified in the relevant Engagement Agreement.
10. Termination
Either party may terminate an Engagement Agreement in accordance with the notice provisions set out therein. ProAxis may immediately suspend or terminate services in the event of material breach, non-payment or conduct inconsistent with professional or ethical standards.
Termination of an Engagement Agreement shall not affect any rights or obligations accrued prior to the date of termination, including the obligation to pay fees for services already rendered.
11. Website Use
You may use the ProAxis website and Portal for lawful purposes only. You must not use our platforms to transmit any unlawful, defamatory, abusive, fraudulent or harmful content, or to attempt to gain unauthorised access to any part of our systems. ProAxis reserves the right to suspend or terminate access without notice in the event of misuse.
12. Changes to These Terms
ProAxis reserves the right to update or amend these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our services following any amendment constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Kenya. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
Where possible, the parties shall seek to resolve disputes amicably through negotiation within 30 days of a dispute arising before resorting to formal legal proceedings.
